It's not that. There are multiple references, samples, etc. While they may be entirely legal, rights have changed and Nintendo already gets sued enough, and it's their lawyers' jobs to stop as many potential lawsuits as possible.
The real problem is that Nintendo of Japan doesn't want NoA to change anything in the game, which could get it released.
